All services are subject to written agreements or proposals where applicable.

2. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information

  • Grant necessary access to Shopify, ad accounts, and tools

  • Respond in a timely manner to requests

  • Ensure compliance with applicable laws and platform policies

Delays in communication or access may impact results.

3. Payment Terms

  • Services are billed according to agreed proposals or retainers.

  • Payments must be made on time as stated in invoices.

  • Late payments may result in paused services.

  • Fees are non-refundable unless otherwise stated in writing.

4. No Guaranteed Results

While we aim to deliver measurable growth, we do not guarantee specific revenue, ROAS, or performance outcomes.

Marketing performance depends on multiple factors including:

  • Market conditions

  • Competition

  • Product-market fit

  • Budget allocation

  • Platform algorithm changes

5. Confidentiality

We respect client confidentiality. Any sensitive business information shared with us will not be disclosed to third parties without consent, except where required by law.

6. Intellectual Property

Unless otherwise agreed:

  • Clients retain ownership of their brand assets.

  • Scale95 retains ownership of proprietary systems, strategies, and internal processes.

Marketing materials created for clients may be used in portfolios or case studies unless otherwise agreed in writing.

7. Limitation of Liability

Scale95 shall not be liable for:

  • Loss of profits

  • Indirect or consequential damages

  • Platform bans or policy changes beyond our control

  • Third-party service interruptions

Our liability is limited to the amount paid for services within the last 30 days.

8. Termination

Either party may terminate services according to the agreed contract terms.

Outstanding payments must be settled upon termination.

9. Website Use

You agree not to:

  • Misuse our website

  • Attempt to gain unauthorized access

  • Copy or distribute content without permission

All website content is owned by Scale95 unless otherwise stated.

10. Governing Law
